The CEWisconsin Promise

CEWisconsin has served Wisconsin insurance professionals since 2002. Our goal is to provide an accurate, on-time, and easy continuing education experience. If something isn't right with your course, your credit, or your account, please contact us first — most issues can be resolved quickly and informally. The legal terms that follow set out our mutual rights and obligations; the spirit behind them is simple: do your own work, give us accurate information, and we'll get your CE credit reported correctly and treat you fairly.

These Terms of Service (the "Terms") form a binding legal agreement between you ("Customer," "you," or "your") and FifthWhy, LLC, a Wisconsin limited liability company doing business as CEWisconsin ("CEWisconsin," "Provider," "we," "us," or "our"). CEWisconsin is a continuing education provider approved by the Wisconsin Office of the Commissioner of Insurance (the "OCI"), Provider #20781.

1. Services

1.1 Continuing Education Courses

CEWisconsin offers online continuing education ("CE") courses for insurance professionals licensed, or seeking to be licensed, in the State of Wisconsin and certain other approved states. Courses are designed to meet the CE requirements of Wisconsin OCI and, where applicable, of approved reciprocal state insurance regulators.

1.2 Course Approvals

Each course offered by CEWisconsin is filed with and approved by Wisconsin OCI prior to being offered for credit. Some courses may also be approved in other states under reciprocity. Course approvals are subject to change. CEWisconsin makes no guarantee that any course will satisfy the CE requirements of any state other than Wisconsin unless approval for that state is expressly stated on the course page at the time of your enrollment.

1.3 Course Content

Course content includes text, videos, images, audio, and interactive materials prepared in good faith based on regulations, statutes, industry sources, and CEWisconsin's research as of the date of publication. Content is provided for educational purposes only and does not constitute legal, tax, financial, regulatory, or insurance-product advice.

1.4 AI Assistant (CEWiz)

CEWisconsin offers an AI-powered chatbot known as "CEWiz" to help users navigate the website, courses, and general CE questions. CEWiz is a convenience tool, not a substitute for direct human support, and its responses may occasionally be incomplete or inaccurate. You should not rely on CEWiz for binding legal, regulatory, or compliance advice. For authoritative answers about your CE status, contact Wisconsin OCI directly at oci.wi.gov.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least eighteen (18) years of age and legally capable of entering into a binding contract under Wisconsin law to use the services. Most users are licensed or aspiring insurance producers; however, licensure is not required to enroll. CE credit will be reported to a state regulator only for individuals whose license information has been provided and verified.

2.2 Account Information

You agree to provide accurate, current, and complete information during registration and at the time of any purchase, including your full legal name, National Producer Number (NPN), state license number(s), mailing address, and a valid email address. You are solely responsible for the accuracy of all information you submit. CEWisconsin is not liable for credit-reporting delays, errors, or denials caused by inaccurate information provided by you.

2.3 One Account Per Person

Each account is for a single individual. Sharing your account credentials with another person, taking a course on behalf of another person, or permitting another person to take a course on your behalf is strictly prohibited and constitutes a material breach of these Terms.

2.4 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify CEWisconsin promptly at the email address listed in Section 18 if you suspect unauthorized access to or use of your account.

3. Course Enrollment, Fees, and Payment

3.1 Pricing

Course prices are displayed on the website at the time of purchase. The displayed price includes the cost of course content, online delivery, certificate issuance, and a per-credit OCI fee assessed by Wisconsin OCI (currently $1.50 per credit, subject to change by OCI). CEWisconsin may update pricing at any time without prior notice; the price displayed at the time you complete checkout governs your transaction.

3.2 Payment

Payment is due at the time of enrollment unless otherwise expressly agreed in writing by CEWisconsin. CEWisconsin accepts payment through its designated third-party payment processor(s). By submitting payment information, you authorize CEWisconsin and its processor to charge your selected payment method for the full amount of your purchase, plus any applicable taxes.

3.3 Failed Payments

Failed, declined, or reversed payments may result in suspension of your access to the course, removal of your enrollment, and withholding of any pending CE credit until payment is resolved in full.

3.4 Chargebacks

Initiating a chargeback or payment dispute without first contacting CEWisconsin in good faith to attempt resolution is a violation of these Terms. Wrongful chargebacks may result in account suspension, recovery of disputed amounts, and recovery of CEWisconsin's reasonable costs and fees, including any chargeback processing fees imposed by the payment processor.

4. Refund Policy

4.1 Refund Window

You may request a full refund within thirty (30) days of purchase, provided that you have not (a) submitted a passing test score, (b) electronically signed and submitted the affidavit of completion, or (c) had CE credit reported to any state regulator. Once any of these milestones occurs, the purchase is final and non-refundable.

4.2 OCI Fee

The per-credit OCI fee included in your purchase price is paid by CEWisconsin to Wisconsin OCI and is generally non-refundable once credit has been reported.

4.3 How to Request a Refund

To request a refund, email CEWisconsin at the address listed in Section 18 with your name, the order date, the course name, and the reason for the request. Approved refunds are issued to the original payment method within ten (10) business days of approval, subject to the processing time of the payment processor and your bank or card issuer.

4.4 Discretionary Refunds

Outside of the standard refund window, CEWisconsin may, in its sole discretion, grant partial or full refunds in cases of documented technical errors, billing errors, or other extenuating circumstances. The grant of one discretionary refund does not entitle you to any future discretionary refund.

5. Course Completion and CE Credit Reporting

5.1 Completion Requirements

To earn CE credit, you must (a) review the course content in its entirety, (b) achieve a passing score on the final test as required by Wisconsin OCI, and (c) electronically sign with your proctor and submit the affidavit of completion certifying under penalty of perjury that you personally completed the course material.

5.2 Affidavit Integrity

The affidavit of completion is a sworn statement. Submitting a false affidavit is a serious violation of these Terms and of Wisconsin insurance regulations. False affidavits may result in revocation of credit, immediate account termination, forfeiture of fees paid, and a report to Wisconsin OCI, which may take action against your insurance license.

5.3 Credit Reporting

Upon successful completion of a course and submission of a valid affidavit, CEWisconsin will report your CE credit to Wisconsin OCI (and to any applicable reciprocal state, where supported) in the ordinary course of business, typically within five (5) business days. Timely and accurate reporting is contingent on the accuracy of the license and identifying information you provided. CEWisconsin is not responsible for delays, denials, or compliance issues arising from inaccurate information you submitted.

5.4 Recordkeeping

CEWisconsin retains records of your enrollments, test scores, affidavits, and certificates as required by Wisconsin OCI. You may request a copy of your own records at any time at no charge by contacting CEWisconsin at the address in Section 18.

5.5 Course Expiration

Once enrolled, you generally do have a deadline to complete a course unless a period is stated on the course page. Courses not completed within the applicable enrollment window may be closed without refund.

6. Acceptable Use

You agree that you will not, and will not assist or permit any third party to:

  • (a) share your account credentials with any other person;
  • (b) take a course on behalf of another person, or permit another person to take a course on your behalf;
  • (c) copy, reproduce, distribute, publicly display, post, frame, mirror, or create derivative works from any course content, in whole or in part, except as expressly permitted by these Terms;
  • (d) place, input, upload, train, fine-tune, or otherwise use any course content, test questions, the CEWiz chatbot's responses, or any other CEWisconsin content in any artificial intelligence ("AI") platform, model, dataset, or service — including but not limited to ChatGPT, Claude, Gemini, Copilot, Llama, Mistral, and any AI services offered by Amazon, Google, Microsoft, Anthropic, OpenAI, Meta, or similar providers — for the purpose of training, retrieval-augmented generation, embeddings, fine-tuning, or commercial output;
  • (e) attempt to circumvent, disable, or interfere with security, time-tracking, identity-verification, or test-integrity features of the website;
  • (f) use automated tools, bots, scrapers, crawlers, or browser-automation software to monitor, alter, copy, or extract any portion of the website or its content except as expressly permitted in writing;
  • (g) attempt to gain unauthorized access to any portion of the website, any other user's account, or any of CEWisconsin's systems;
  • (h) submit false, inaccurate, or misleading information, including any false affidavit;
  • (i) portray CEWisconsin, its owner, employees, contractors, products, or services in a false, misleading, derogatory, or otherwise offensive manner;
  • (j) use the services for any unlawful purpose or in violation of any Wisconsin OCI rule, statute, or regulation;
  • (k) upload or transmit malicious code, spam, or content that infringes the rights of any third party.

Violations may result in immediate account suspension or termination, forfeiture of fees paid, revocation of any CE credit reported, recovery from CEWisconsin of any costs incurred, and reporting of the violation to Wisconsin OCI and, where appropriate, to law enforcement.

7. Intellectual Property

7.1 CEWisconsin's Rights

All course content, including without limitation written material, videos, audio, images, course outlines, test questions, certificates, software, the CEWiz chatbot, and the design and code of cewisconsin.com, is the exclusive property of CEWisconsin (or its licensors) and is protected by copyright, trademark, and other intellectual property laws of the United States and the State of Wisconsin.

7.2 Limited License

Subject to your continued compliance with these Terms, CEWisconsin grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the course content solely for your personal CE completion purposes. You may print or download a copy of your own certificate of completion for your records.

7.3 No Resale or Redistribution

You may not sell, rent, lease, sublicense, redistribute, frame, mirror, modify, scrape, or publicly post any course content. Each enrollment is a license for one named individual; you may not share, transfer, or otherwise make course materials available to other individuals — including individuals within the same company, agency, or organization — without a separate written multi-user agreement with CEWisconsin. Multi-user, organizational, or enterprise licensing requires a separate written agreement.

7.4 Trademarks

"CEWisconsin" and the CEWisconsin logo are trademarks of CEWisconsin, used in commerce in Wisconsin since 2002. You may not use any CEWisconsin trademark, trade name, logo, or branding without prior written permission, except for nominative reference (for example, accurately stating that you took a course from CEWisconsin or leaving a positive review).

7.5 Feedback

If you submit any feedback, suggestions, ideas, or improvement requests to CEWisconsin, you grant CEWisconsin a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, and incorporate such feedback for any purpose, without obligation or compensation to you.

8. Privacy

Your privacy is governed by CEWisconsin's Privacy Policy. By using the services, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

9. Communications and Marketing

9.1 Transactional Communications

By creating an account, you agree to receive transactional communications by email, including receipts, course-progress notices, reporting confirmations, regulatory notices, and account-related messages. These messages are necessary to deliver the services and cannot be disabled while your account is active.

9.2 Marketing Communications

CEWisconsin may also send marketing emails, including renewal reminders, news about new courses, and continuing education updates. You may unsubscribe from marketing emails at any time using the unsubscribe link in those messages. Opting out of marketing communications does not affect transactional communications.

10. Disclaimers

10.1 Educational Purpose Only

Course content is provided for continuing education purposes only and does not constitute legal, tax, accounting, financial, regulatory, fiduciary, or insurance-product advice. You should consult an attorney, tax professional, compliance officer, or other appropriate advisor for advice on specific situations.

10.2 "As Is" Services

10.3 Third-Party Services

Payment processing, AI chatbot infrastructure, email delivery, hosting, and other functions are provided by third parties. CEWisconsin is not responsible for the acts, omissions, outages, or failures of any third-party provider, although CEWisconsin will use commercially reasonable efforts to mitigate the impact of such issues on customers.

10.4 Links to Third-Party Sites

The website may contain links to third-party websites, including without limitation Wisconsin OCI (oci.wi.gov), the NIPR, and partner referral pages. These links are provided for your convenience only. CEWisconsin does not control, endorse, or assume any responsibility for the content, accuracy, security, or privacy practices of any third-party site. Your use of any third-party site is at your own risk and is governed by that site's own terms and privacy policies.

10.5 Viruses and Other Harmful Components

There is always the possibility of unknowingly acquiring computer viruses or other harmful code on the internet. You are responsible for using appropriate antivirus protection and for scanning any files you download. CEWisconsin shall not be responsible or liable for any damage caused by viruses, malware, or related hazards, whether or not such hazard resulted from a visit to the website. You, and not CEWisconsin, assume the entire cost of any necessary servicing, repairs, or correction.

10.6 System Requirements

You are responsible for ensuring your device, browser, and internet connection meet the technical requirements to access courses. CEWisconsin is not responsible for issues caused by outdated browsers, blocked scripts, ad blockers, restrictive corporate networks, or unsupported devices.

11. Limitation of Liability

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. To the extent any such exclusion or limitation is not permitted, CEWisconsin's liability shall be limited to the smallest amount permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless CEWisconsin and its owners, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to (a) your breach of these Terms, (b) your violation of any law or third-party right, (c) your submission of inaccurate or false information, including any false affidavit, or (d) your misuse of course content or the services.

13. Termination

13.1 Termination by You

You may terminate your account at any time by sending a written request to the email address listed in Section 18. Termination does not entitle you to a refund except as expressly provided in Section 4.

13.2 Termination by CEWisconsin

CEWisconsin may suspend or terminate your account at any time, with or without prior notice, for any reason, including without limitation violation of these Terms, fraudulent activity, submission of a false affidavit, or risk to other customers, to CEWisconsin, or to CEWisconsin's standing with Wisconsin OCI.

13.3 Effect of Termination

Upon termination, your right to access the services ends immediately. Provisions of these Terms that by their nature should survive termination — including without limitation Sections 7 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 15 (Governing Law and Venue), 16 (Dispute Resolution), and 17 (General) — will survive termination.

14. Modifications to Terms

CEWisconsin may modify these Terms from time to time. The current version will be posted at cewisconsin.com with an updated "Last Updated" date. For material changes, CEWisconsin will provide reasonable notice by email or through the website. Your continued use of the services after the effective date of changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, your sole remedy is to stop using the services and, where applicable, request a refund subject to Section 4.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-laws principles. Any action arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Dane County, Wisconsin, and you consent to the personal jurisdiction of those courts and waive any objection to venue.

16. Dispute Resolution

16.1 Informal Resolution

Before filing any formal claim, you agree to first contact CEWisconsin in writing at the email address in Section 18 and attempt in good faith to resolve the dispute for at least thirty (30) days. CEWisconsin will use commercially reasonable efforts to respond within ten (10) business days of receiving your written notice.

16.2 Small Claims

Either party may bring a qualifying dispute in the small claims court of the county identified in Section 15.

16.3 Class Action Waiver

To the extent permitted by law, you and CEWisconsin agree that any dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

17. General

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any course-specific terms presented at the time of enrollment, constitute the entire agreement between you and CEWisconsin regarding the services and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.

17.2 Severability

If any provision of these Terms is held by a court of competent jurisdiction to be unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

17.3 No Waiver

CEWisconsin's failure to enforce any provision of these Terms is not a waiver of its right to enforce that or any other provision later.

17.4 Assignment

You may not assign or transfer these Terms or any rights or obligations under them, in whole or in part, without CEWisconsin's prior written consent. CEWisconsin may assign these Terms in connection with a merger, sale of assets, reorganization, or by operation of law. These Terms bind and inure to the benefit of the parties' permitted successors and assigns.

17.5 Force Majeure

CEWisconsin is not liable for any failure or delay in performance caused by events beyond its reasonable control, including without limitation natural disasters, internet or hosting outages, third-party service failures, governmental or regulatory actions, strikes, labor disputes, pandemics, or acts of war or terrorism.

17.6 Notices

Notices to CEWisconsin must be sent to the email address or postal address listed in Section 18. Notices to you may be sent to the email address on file with your account and are deemed delivered when sent.

17.7 Headings

Section headings are for convenience of reference only and do not affect the interpretation of these Terms.

17.8 Independent Contractors

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and CEWisconsin.
